MDH Transaction Notices
Beginning January 1, 2024, notice must be provided to the Minnesota Department of Health (MDH) for certain health care entity transactions prior to the close of the transaction. This requirement stems from adoption of Minnesota Statutes 145D.02 by the Minnesota Legislature.
While entities should carefully review the law's requirements with their legal counsel to determine how it applies to them, generally, the notice requirement applies to certain health care transactions where at least one entity has average revenue between $10 million and $80 million per year, or the entity resulting from the transaction is expected to have revenue within those bounds. This requirement is distinct from those under Minnesota Statues 145D.01 for joint health care entity transaction notice and information to the Attorney General’s Office (AGO) and MDH.
